These Terms and Conditions ("Terms") govern your access to and use of the Nodi platform ("Service"), operated by Nodi ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Please also review our Privacy Policy, which describes how we collect, use, and protect your data.

1. Definitions

  • "Platform" refers to the Nodi website, applications, and all related services.
  • "Candidate" refers to any individual who creates an account on Nodi for the purpose of showcasing their professional profile and seeking employment opportunities.
  • "Recruiter" or "Employer" refers to any individual or entity that creates an account on Nodi for the purpose of browsing candidate profiles, posting job offers, and managing recruitment processes.
  • "User" refers to any person or entity that accesses or uses the Platform, whether as a Candidate, Recruiter, or visitor.
  • "Content" refers to any information, data, text, images, or other materials uploaded, submitted, or displayed on the Platform.

2. Eligibility

  • You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that you meet this age requirement.
  • If you are creating an account on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
  • We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

3. Account Registration and Security

  • You must provide accurate, complete, and current information when creating your account. You agree to update your information promptly if it changes.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must immediately notify us at hello@nodi.global if you suspect any unauthorized use of your account or any other breach of security.
  • We are not liable for any loss or damage arising from your failure to protect your account credentials.
  • You may authenticate using third-party services such as Google. By doing so, you authorize us to access and use certain information from those services in accordance with our Privacy Policy and the respective third-party's terms.

4. Candidate-Specific Terms

  • Profile creation: By creating a Candidate profile, you authorize Nodi to display your profile information to Recruiters and, for certain fields, to the general public.
  • Accuracy: You represent that all information in your profile is truthful and accurate. Misrepresentation of qualifications, experience, or skills is prohibited and may result in account termination.
  • Public visibility: By default, your profile is publicly visible. Limited information (first name, skills, experience summary) is available to all visitors. Full details (last name, resume, contact links, salary expectations) are only accessible to registered Recruiters. You can set your profile to private at any time through your account settings.
  • Data responsibility: Once your profile information is accessed by a Recruiter, Nodi is not responsible for how that Recruiter uses, stores, or shares your data outside the Platform.
  • No employment guarantee: Nodi is a platform that facilitates connections between Candidates and Recruiters. We do not guarantee employment, interviews, or any specific outcome from using the Service.

5. Recruiter and Employer-Specific Terms

  • Data use restrictions: You may only use Candidate data obtained through Nodi for legitimate recruitment purposes. You must not use Candidate data for marketing, advertising, spamming, or any purpose unrelated to recruitment.
  • Data protection obligations: You are responsible for handling Candidate data in compliance with all applicable data protection laws and regulations in your jurisdiction. You must implement appropriate technical and organizational measures to protect Candidate data you access through the Platform.
  • Accurate job postings: All job offers posted on the Platform must be accurate, non-discriminatory, and comply with applicable employment laws. We reserve the right to remove job postings that violate these requirements.
  • No scraping or bulk collection: You must not use automated tools, scripts, or bots to scrape, extract, or collect Candidate data from the Platform.
  • Sharing and collaboration: When sharing job offers or Candidate data with team members through the Platform's sharing features, you are responsible for ensuring that those team members comply with these Terms and all applicable data protection laws.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
  • Interfere with or disrupt the Platform, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Platform, other accounts, or computer systems or networks connected to the Platform.
  • Use any automated means (bots, scrapers, crawlers) to access or collect data from the Platform without our prior written consent.
  • Upload malicious code, viruses, or any other harmful technology.
  • Discriminate against Candidates based on race, color, religion, gender, gender identity, sexual orientation, national origin, disability, age, or any other protected characteristic.

7. Intellectual Property

  • The Platform, including its design, code, features, logos, and trademarks, is the property of Nodi and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our prior written consent.
  • You retain ownership of the Content you upload to the Platform. However, by uploading Content, you grant Nodi a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your Content solely for the purpose of operating and providing the Service.
  • This license terminates when you delete your Content or your account, except where your Content has been shared with others and they have not deleted it, or where retention is required by law.

8. Third-Party Services and Google API

  • The Service integrates with third-party services including Google (for authentication and calendar scheduling), Firebase, and Vercel. Your use of these third-party services is subject to their respective terms and privacy policies.
  • When you authenticate using Google, you authorize us to access your basic profile information (name, email, profile picture) in accordance with our Privacy Policy and the Google API Services User Data Policy.
  • If you are a Recruiter and connect your Google Calendar, you authorize Nodi to access your calendar to check your availability and create interview events with candidates. Nodi will not modify or delete your existing calendar events. You may disconnect your Google Calendar at any time through your account settings.
  • You may revoke Nodi's access to your Google account data at any time through your Google Account permissions page.
  • We are not responsible for the availability, accuracy, or content of any third-party services.

9. Payment Terms

Certain features of the Service may require payment. If you subscribe to a paid plan:

  • You agree to pay all fees associated with your selected plan.
  • All fees are non-refundable unless otherwise stated or required by applicable law.
  • We reserve the right to change our pricing with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

10. Termination

  • By you: You may terminate your account at any time by contacting us at hello@nodi.global or through your account settings. Upon termination, your profile will be removed from public view and your data will be deleted in accordance with our Privacy Policy.
  • By us: We may suspend or terminate your account at any time, with or without cause and with or without notice, if we determine that you have violated these Terms. We may also terminate accounts that remain inactive for an extended period.
  • Effect of termination: Upon termination, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 7, 11, 12, and 13) will continue to apply.

11. Disclaimers

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • We do not guarantee the accuracy, completeness, or reliability of any Content on the Platform, including Candidate profiles, job offers, or company information.
  • We are not responsible for any hiring decisions made by Recruiters or any employment outcomes for Candidates.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Nodi and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. In no event shall our total liability exceed the amount you have paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Nodi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; or (d) any Content you submit, post, or transmit through the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nodi operates, without regard to its conflict of laws provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration institution in our jurisdiction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last updated" date at the top of this page, and (b) notify you via email or a prominent notice on the Platform. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your account.

16. Miscellaneous

  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nodi regarding the Service and supersede all prior agreements and understandings.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
